We are thrilled to present you with an exclusive collaboration opportunity with Modified Lifestyle! Selected vehicles will be spotlighted in our highly anticipated print magazine, set to launch in Spring 2025. This is a chance to showcase your vehicle to the world and be part of something unique!
Please review and agree to the following Non-Disclosure Agreement (NDA) to proceed.
1. Purpose
This Agreement ensures that Confidential Information provided by Modified Lifestyle is used only for evaluating or engaging in business-related discussions with Modified Lifestyle.
2. Confidential Information
"Confidential Information" includes any non-public information shared by Modified Lifestyle, such as business strategies, marketing plans, product details, designs, communications, discussions, and any other proprietary or sensitive data.
3. Confidentiality Obligations
Parties receiving Confidential Information from Modified Lifestyle agree to:
- Keep all Confidential Information strictly confidential.
- Not disclose any Confidential Information to third parties without explicit written permission from Modified Lifestyle.
- Use the Confidential Information only for business purposes related to Modified Lifestyle.
- Securely store all Confidential Information to prevent unauthorized access.
- Immediately notify Modified Lifestyle of any unauthorized disclosure or breach.
4. Exclusions from Confidential Information
Confidential Information does not include information that:
- Becomes publicly accessible without breach of this Agreement.
- Was independently developed or obtained without reference to the Confidential Information.
- Is disclosed with written permission from Modified Lifestyle.
5. Duration of Confidentiality
The confidentiality obligations remain in effect indefinitely, unless terminated in writing by Modified Lifestyle.
6. Non-Disclosure Approval
Disclosure of Confidential Information to third parties or the public is prohibited unless approved in writing by Modified Lifestyle. Any unauthorized disclosure of Confidential Information will be subject to legal action and penalties, including but not limited to damages and legal fees.
7. Governing Law
This Agreement is governed by the laws of the state in which Modified Lifestyle operates. Any changes to this Agreement must be made in writing and agreed upon by Modified Lifestyle.
By engaging in discussions or collaborations with Modified Lifestyle, all parties agree to the terms set forth in this Agreement. This Agreement covers all communications, materials, and information shared in relation to the magazine and any future discussions or projects.
